These terms and conditions (the “Terms”) apply to any registered user (the “Registered User”) and/or guest (the “Guest”) invited to One Minute Focus via an invitation link who accesses and/or uses the platform (“you”) and govern our mutual rights and obligations arising from your use of One Minute Focus and the provision of the services. By using One Minute Focus you enter into an agreement with us for the provision of our services (the “Agreement”). These Terms are an integral part of the Agreement. Your access to One Minute Focus and your use of our services are conditioned on your acceptance of and compliance with these Terms and our Privacy Policy. By accessing or using One Minute Focus you accept these Terms and agree to be bound by them. If you disagree with any part of the Terms, you may not use One Minute Focus. We are constantly trying to improve One Minute Focus and our services, so these Terms may change along with updates and new features. What You Need to Know to Use One Minute Focus How Does One Minute Focus Work? One Minute Focus provides a way for users to stay accountable while building new habits and achieving their goals. One Minute Focus is accessible via our website https://oneminutefocus.com where you can create your personal user account (“One Minute Focus Account”). We reserve the right to modify, terminate, or otherwise amend our offered services and any promotional offerings at any time in accordance with these Terms. What Versions Do We Offer? Basic Version: The free version where no payment is required. You can access our services once your One Minute Focus Account is activated or you are provided with an invitation link as a Guest. Premium Version: A paid version that requires a subscription before you can access these enhanced services. Pay-As-You-Go Version: A paid version that requires payment before you can access specific services. We may offer you a free trial that gives you access to certain features of the Premium version for a specified period without payment or at a reduced rate (a “Trial”). We reserve the right to determine your Trial terms and/or withdraw or modify a Trial at any time without prior notice and with no liability. For some Trials, we may require you to provide payment details. By doing so, you agree that we may automatically begin charging you for the Premium Services on the first day following the end of the Trial on a recurring monthly or other basis as disclosed in advance. Any “credits” provided under your One Minute Focus Account are not transferable, refundable, or exchangeable for cash. What Are the One Minute Focus Requirements? To use One Minute Focus, you must have the necessary hardware, software, and internet connection that meet our recommended requirements (which may be specified in our FAQs or support information). If these requirements are not met, you may still use our service but potentially at a lower quality or performance, and such reduced performance will not give you the right to claim any compensation from One Minute Focus. One Minute Focus may occasionally be inaccessible due to planned maintenance or updates. When possible, we will inform you about such maintenance in advance via email, our website, or through the One Minute Focus interface. Creating a One Minute Focus Account To access certain parts of our service, you need to create a One Minute Focus Account. You may register by following the instructions on our website or those provided within the platform. You are responsible for providing and maintaining accurate and updated personal information, and for safeguarding your account credentials. You must not impersonate another person or use another person’s identity. A valid email address is required, and we reserve the right to verify this at any time. We are not liable for any loss or damage arising from your failure to comply with these requirements. Your One Minute Focus Account is strictly personal and must not be used by anyone else without your supervision. You are solely responsible for all activities that occur through your One Minute Focus Account. We may change, terminate, or restrict access to any aspect of One Minute Focus, our services, or your account at any time, without notice. We reserve the right to impose limitations on use based on what we consider fair or legitimate for both free and paid users. Please note that your One Minute Focus Account may be inaccessible for a limited period due to necessary maintenance. Your Responsibilities While Using One Minute Focus You are responsible for all content displayed, shared, uploaded, or otherwise made available by you while using One Minute Focus (the “User Content”). This includes room names and any other information you share. Since room names are used to create links that others may use to access your rooms, please ensure that you do not include any sensitive or private information, as room names are considered public information. Any use or reliance on User Content is at your own risk. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content. You acknowledge that by using One Minute Focus you may encounter content that is offensive, harmful, inaccurate, or otherwise inappropriate. Under no circumstances will we be liable for any User Content, including any errors, omissions, or any loss or damage incurred as a result of using such content. Restrictions on Use and User Content We reserve the right to access, read, preserve, and disclose any information as we reasonably believe necessary to: Satisfy any applicable law, regulation, legal process, or governmental request; Enforce these Terms, including investigating potential violations; Detect, prevent, or address fraud, security, or technical issues; Respond to user support requests; or Protect our rights, property, or safety, as well as that of our users and the public. We may also report any illegal or suspicious activity to the appropriate authorities. Prohibited User Content includes, but is not limited to, content that: Is offensive or promotes racism, bigotry, discrimination, hatred, harassment, or physical harm; Displays or links to pornographic, sexually explicit, or indecent material; Promotes or endorses false or misleading information or illegal activities; Infringes on the copyrights, trademarks, or legal rights of others; Contains restricted access pages or solicits personal data from other users; Violates the rights or safety of others or One Minute Focus; or Shares personal information about other users without their consent. We reserve the right to edit or remove any User Content that does not comply with these Terms or our policies. Charging, Subscription, and Billing After creating your One Minute Focus Account, the applicable subscription fee (the “Subscription Fee”) will be displayed depending on the chosen subscription plan. Subscription Fee Payment: Payment is made in advance via the available payment gateway on our platform on a monthly basis. Automatic Renewal: Your payment will automatically renew at the end of the subscription period unless you cancel beforehand. Cancellation takes effect the day after the current subscription period ends, and you will be downgraded to the Basic version. We do not provide refunds or credits for any partial subscription periods. Enhanced Features: One Minute Focus offers enhanced features available via monthly, yearly, or lifetime subscriptions (“Subscription”). Descriptions of these features are available within the Services. When purchasing a Subscription or Product (each, a “Transaction”), you may be asked to provide additional payment information (“Payment Information”). You represent that you have the legal right to use all payment methods provided. By initiating a Transaction, you authorize us to share your Payment Information with third-party service providers to complete your order. You also agree to pay any applicable fees and taxes. Once your payment is confirmed, you will receive a confirmation email. All payments made are non-refundable and non-transferable except as expressly provided in these Terms. Billing Disputes: If you have any concerns regarding charges, please contact us first at contact@oneminutefocus.com. You agree not to cancel or reject any payment processing charges until you have made a reasonable attempt to resolve the matter directly with us. Order Cancellation: We reserve the right to cancel your order if, for example, your payment is declined or if we suspect fraudulent activity. We may also require identity verification before processing your order. Subscription Renewals: All amounts are payable and charged at the time of order or at the beginning of each renewal period. To avoid additional charges, you must cancel your Subscription before it renews. If you subscribe through our website, you can cancel renewal by contacting us at contact@oneminutefocus.com. If you subscribe via an App Provider (e.g., Apple App Store, Google Play), please cancel through the respective provider. Suspended Access: If payment is unsuccessful, we may suspend your access until payment is processed. Fee Changes: We may change the Subscription Fee and will communicate changes in advance. Fee changes take effect at the start of the next subscription period. By continuing to use One Minute Focus after a fee change, you accept the new Subscription Fee. If you disagree with the change, please cancel your subscription before it takes effect. Intellectual Property Rights All intellectual property rights associated with One Minute Focus and its contents are the exclusive property of One Minute Focus or our affiliates. We reserve all rights not expressly granted in these Terms. Your One Minute Focus Account is for your personal use only and is non-transferable. You may not copy, reproduce, modify, lease, loan, sell, create derivative works from, upload, transmit, or otherwise distribute any part of One Minute Focus or its intellectual property without our prior consent. We grant you a limited, non-exclusive, revocable license to use One Minute Focus solely for the functionalities provided through your account. This license remains in effect until the termination of the Agreement, your Subscription, or our services. All graphics, data, articles, photos, images, illustrations, texts, and other content available on or through One Minute Focus are protected by copyright and other intellectual property laws. You must abide by all copyright notices, trademark rules, and restrictions, and you may not use such content without obtaining the necessary permissions. Warranty Disclaimer and Limitation of Liability One Minute Focus and our services are provided “as is.” You acknowledge that the platform and our services may contain errors and are provided at your own risk. We make no warranties, express or implied, regarding the availability, merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness of One Minute Focus or our services. Under no circumstances will we be liable for any loss or damage arising from: Your use of, or inability to use, One Minute Focus; Reliance on any User Content or other materials on the platform; Any malfunction, inaccessibility, or interruption due to force majeure (e.g., hacker attacks, software or hardware failure); Any claims between users; or Any indirect or consequential loss or damage, including loss of profits, business interruption, or damage to goodwill or reputation. Indemnity To the fullest extent permitted by law, you agree to indemnify and hold harmless One Minute Focus, our affiliates, officers, agents, employees, and partners from any claims, liabilities, damages (actual and consequential), losses, and expenses (including attorneys’ fees) arising from or in any way related to: Your use of One Minute Focus (including any actions taken by a third party using your account), and Your violation of these Terms. Complaints and Technical Issues If you experience technical issues or have any complaints regarding our services, please notify us at contact@oneminutefocus.com or use the feedback form available on One Minute Focus. We will investigate and inform you of our findings and any steps we plan to take. We aim to respond to your complaint within 30 days. Please note that you are not entitled to reimbursement for any costs incurred in connection with a complaint. Personal Data Protection We process your personal data in accordance with applicable laws to provide you with our services. For more details on how we process and protect your personal data, please refer to our Privacy Policy. Term and Termination This Agreement is effective for an indefinite period. Your Termination: You may terminate the Agreement at any time by contacting us at contact@oneminutefocus.com or through the settings available in your account (“Delete My Account”). Please refer to our Privacy Policy for details on how we treat your information after termination. Our Termination: We may also terminate or suspend your use of One Minute Focus, in whole or in part, at our sole discretion (including for breach of these Terms). In such cases, any User Content associated with your account may be destroyed. We will, if possible, provide advance notice to allow you to retrieve any important User Content before termination. If you accidentally delete your One Minute Focus Account, please contact us immediately at contact@oneminutefocus.com. While we will try to help, we cannot guarantee that any data can be restored. Provisions that by their nature should survive termination will continue to apply, including obligations to pay fees, indemnification, intellectual property rights, and dispute resolution. Miscellaneous Assignment We may assign our rights and obligations under these Terms, in whole or in part, to a third party at our discretion. Choice of Law and Dispute Resolution These Terms are governed by and will be construed under the laws of the State of California, without regard to its conflict of laws provisions. Any dispute arising from or related to these Terms shall be finally settled in San Francisco County, California, in English, in accordance with the Streamlined Arbitration Rules and Procedures (the “Rules”) of Judicial Arbitration and Mediation Services, Inc. (“JAMS”), by a commercial arbitrator experienced in resolving intellectual property and commercial contract disputes. Partial Invalidity Should any provision of these Terms be or become invalid or ineffective, that provision shall be replaced with one that comes as close as possible to the intended meaning, and the remaining provisions will remain in full force and effect.
